Terms of Service

Effective date: March 4, 2026

1. Agreement

By subscribing to or using DeskForeman ("the Service"), you ("Contractor," "you") agree to these Terms of Service. If you do not agree, do not use the Service. These terms constitute a binding agreement between you and DeskForeman ("we," "us," "our").

2. The Service

DeskForeman provides an AI-powered employee service that handles customer communications, lead qualification, estimate generation, scheduling, and pipeline management for residential contractors. The Service includes:

  • An AI assistant ("Maya") that communicates with your customers via SMS and other channels
  • Automated lead qualification and scoring
  • AI-generated ballpark estimates, proposals, and contracts
  • A builder management interface via SMS
  • Pipeline analytics and coaching

3. Subscription and Billing

  • The Service costs $499 per month, billed monthly through Stripe.
  • New accounts include a 7-day free trial. You will not be charged until the trial period ends.
  • You may cancel at any time. Cancellation takes effect at the end of your current billing period.
  • No refunds are provided for partial months of service.
  • We reserve the right to change pricing with 30 days' notice.

4. Your Responsibilities

As a contractor using the Service, you agree to:

  • Provide accurate business information during setup (services offered, service area, pricing ranges)
  • Review and approve AI-generated estimates, proposals, and contracts before they are shared with your customers
  • Comply with all applicable laws and regulations related to your contracting business, including licensing requirements
  • Not use the Service for any unlawful, fraudulent, or deceptive purpose
  • Maintain valid contractor licenses as required by your jurisdiction
  • Respond to escalated matters in a timely manner

5. AI-Generated Content

The Service uses artificial intelligence to generate responses, estimates, proposals, and contracts. Important disclaimers:

  • Estimates are approximate. AI-generated ballpark estimates are rough guidelines based on project details and market data. They are not binding quotes.
  • You are responsible for final pricing. All estimates, proposals, and contracts should be reviewed by you before being finalized with customers.
  • AI can make mistakes. While we strive for accuracy, AI-generated content may contain errors. You are responsible for verifying all information before relying on it.
  • No professional advice. The Service does not provide legal, financial, engineering, or architectural advice.

6. SMS Communications

The Service sends SMS messages to your customers on your behalf. By using the Service, you confirm that:

  • Customers who text your DeskForeman number are initiating contact and consenting to receive replies
  • You will not use the Service to send unsolicited marketing or spam messages
  • You understand that standard message and data rates may apply to your customers
  • You agree to honor all opt-out (STOP) requests from customers

7. Data and Privacy

Our collection and use of data is governed by our Privacy Policy. Key points:

  • Your business data and customer data are isolated from other contractors on our platform
  • We do not sell your data or your customers' data
  • You retain ownership of your business data and customer relationships
  • Upon cancellation, you may request an export of your data within 90 days

8. Intellectual Property

The DeskForeman service, including its AI agents, software, prompts, and design, is our proprietary technology. You are granted a limited, non-exclusive license to use the Service for your contracting business during your active subscription. You may not reverse-engineer, copy, or redistribute any part of the Service.

9. Service Availability

  • We aim for high availability but do not guarantee 100% uptime.
  • The Service depends on third-party providers (Twilio, Anthropic, cloud hosting). Outages from these providers may affect the Service.
  • We will notify you of planned maintenance when possible.
  • If the AI service is temporarily unavailable, customers will receive a friendly hold message rather than silence.

10. Limitation of Liability

To the maximum extent permitted by law:

  • DeskForeman is provided "as is" without warranties of any kind, express or implied.
  • We are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.
  • Our total liability is limited to the amount you paid for the Service in the 3 months preceding the claim.
  • We are not responsible for lost business, lost leads, inaccurate estimates, or any customer disputes arising from AI-generated content that you approved or failed to review.

11. Termination

  • You may cancel your subscription at any time.
  • We may suspend or terminate your account if you violate these terms, use the Service fraudulently, or fail to pay.
  • Upon termination, your AI assistant will stop responding to new customer messages. Existing conversation data will be retained for 90 days.

12. Referral Program

We may offer referral incentives from time to time. Referral credits or discounts are subject to separate terms communicated at the time of the offer. We reserve the right to modify or discontinue referral programs at any time.

13. Governing Law

These terms are governed by the laws of the State of California. Any disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless you opt out of arbitration within 30 days of creating your account by emailing support@deskforeman.com.

14. Changes to These Terms

We may update these terms from time to time. We will notify you of material changes at least 30 days in advance via email or SMS. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.
